A respected mid-size law firm in Midtown Manhattan is seeking an experienced Corporate Paralegal to join its growing team. This role is ideal for someone who enjoys substantive corporate work, thrives in a collaborative environment, and is looking for long-term stability and work-life balance.
About the RoleThe Corporate Paralegal will support attorneys across the Corporate and Transactional practice groups, handling a wide range of responsibilities including entity management, UCC work, corporate governance, and assisting with transactions and closings.
Key ResponsibilitiesForm, register, and maintain business entities across multiple jurisdictions
Draft and file formation documents and manage minute books
Prepare annual reports, foreign qualifications, and compliance filings
Support M&A and corporate transactions, including preparing certificates and assisting with closings
Conduct and review UCC filings , lien searches, and related documentation
Organize and maintain closing binders, corporate records, and due diligence materials
Assist with corporate governance, resolutions, and document preparation
Coordinate with attorneys, clients, and third-party vendors as needed
Perform general corporate maintenance and support special projects
5+ years of Corporate Paralegal experience in a law firm
Solid background in entity formation, corporate maintenance, and transaction support
Experience with UCC filings, searches, and managing corporate documents
Bachelor's Degree required; Paralegal Certificate a plus
Strong communication skills and attention to detail
Ability to manage multiple priorities and meet deadlines
Proficiency in Microsoft Office and legal databases
Mid-size firm environment with meaningful, hands-on work
